Darak API Terms of Use

These terms govern your access to and use of the Darak application programming interface, its documentation and the data it returns (together, the API), provided by Founderproof, Inc., a Delaware corporation doing business as Darak (Darak, we, us).

By creating an API account, generating an API key, or calling the API, you agree to these terms on behalf of the organization you register (you, the Customer). If you do not have authority to bind that organization, do not use the API. If you have a separately signed agreement with Darak for the API, that agreement prevails where it conflicts with these terms.

1. Definitions

  • Account: the organization you register in the Darak developer portal, or that Darak provisions for you.
  • API Key: a secret credential issued to your Account.
  • Darak Data: any data returned by the API, including listings, prices, market statistics, derived analytics, identifiers and images, whether or not it originated from a third party.
  • Plan: the tier of access your Account is on (for example Free, Starter, Pro, Enterprise), including its scopes, rate limits, monthly quota and paging depth, as shown in the portal or in an order form.
  • Your Application: the software, product or service through which you use the API.
  • End User: a person who uses Your Application.
  • Source: a third-party platform or publisher from which Darak collects listing information.

2. Accounts and API Keys

2.1 Eligibility. You must register with accurate information. An individual developer may register an organization in their own name. Darak may verify your identity or business and may decline or close any Account.

2.2 One free Account. You may hold one Account on the Free Plan. Creating additional Accounts to exceed Free Plan limits is a material breach.

2.3 Key security. API Keys are confidential. Use them only from servers you control. Never embed them in browser code, mobile apps, public repositories or URLs. You are responsible for all activity made with your API Keys until you revoke them in the portal. If you suspect a key is exposed, revoke it immediately and tell us through https://darak.app/contact.

2.4 Your team. You are responsible for the people you invite to your Account and for their compliance with these terms.

3. License

3.1 Grant. Subject to these terms and your Plan, Darak grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during your subscription to:

(a) call the API from Your Application; and

(b) use Darak Data inside Your Application, including displaying it to your End Users, for your internal business purposes and to provide Your Application's features.

3.2 Reservation. Darak and its licensors keep all rights in the API and Darak Data that these terms do not expressly grant. Darak's rights cover its compilation, selection, normalization, deduplication, enrichment and derived analytics. The terms give you no ownership of Darak Data.

3.3 Feedback. If you send suggestions about the API, we may use them without obligation to you.

4. Restrictions

You must not, and must not let anyone else:

4.1 Redistribute or resell Darak Data as data. This covers selling, licensing, publishing or giving Darak Data, or any substantial part of it, to third parties as a dataset, feed, file, API or database, whether or not you modify it. Showing individual listings or statistics to End Users inside Your Application under 3.1(b) is allowed.

4.2 Build a competing product. Do not use Darak Data to create or improve a real-estate listing aggregator, listing portal, market-data product or valuation dataset that substitutes for Darak or the API.

4.3 Exceed or circumvent limits. Do not bypass or try to bypass rate limits, quotas, paging depth or scope restrictions. That includes using multiple Accounts or keys to aggregate limits, and systematically paging through inventory to reconstruct the database.

4.4 Scrape. Do not access Darak's websites or apps by automated means other than the API. Do not use the API to scrape Sources on our behalf.

4.5 Misuse contact or personal data. Do not use any personal data in Darak Data for unsolicited marketing, spam or harassment of advertisers, owners, brokers or agents. Do not combine it with other data to profile individuals, or use it for anything unlawful.

4.6 Train models on bulk data. Do not use Darak Data in bulk to train or fine-tune machine-learning models, except models used solely inside Your Application for the Customer's own internal purposes and not offered as a dataset or model to others.

4.7 Misrepresent. Do not imply that Darak endorses you. Do not remove or obscure attribution (section 6). Do not present Darak Data as independently verified by you or by a government authority.

4.8 Harm the service. Do not probe, scan or test the API's vulnerabilities, interfere with its operation, or send malicious code. The exception is a coordinated security disclosure through https://darak.app/contact.

4.9 Violate law or sanctions. Do not use the API in violation of applicable law, including Saudi real-estate advertising rules issued by REGA, the Personal Data Protection Law, and export-control or sanctions laws.

5. Plans, limits and changes

5.1 Limits. Each Plan has limits (scopes, requests per minute, monthly units, page size, paging depth), shown in the portal and returned in response headers. Requests over a limit are rejected. Darak may apply fair-use limits to protect the service.

5.2 Free Plan. The Free Plan is provided as-is, for building and evaluating integrations. Darak may change its limits or discontinue it on 30 days' notice, or immediately to stop abuse.

5.3 API changes. Darak versions the API. Within a major version (for example /v1) Darak may make backwards-compatible changes at any time: adding endpoints, fields, parameters or enum values. Your Application must tolerate them. Darak will give at least 6 months' notice before retiring a major version or making a breaking change to it, except where a change is required by law, a Source's requirements, or security.

5.4 Data coverage. The Sources, cities, fields and refresh frequency of Darak Data may change, and a Source may stop being available. Coverage is not a guaranteed feature of any Plan unless an order form says so.

6. Attribution

6.1 Wherever you display Darak Data to End Users, show "Data by Darak" (or an equivalent Darak attribution approved by us) near the data, with a link to https://darak.app where the medium allows.

6.2 Where you display an individual listing and Darak Data includes a source link for it, provide that link or credit the Source by name (for example "Listed on Aqar"). This credits the original publisher and lets End Users verify the listing.

7. Caching, freshness and removal

7.1 Caching. You may store Darak Data to operate Your Application for up to 30 days from retrieval. After that, refresh it through the API or delete it. Aggregated statistics you compute from Darak Data for your internal reporting may be kept longer, provided they cannot be reversed into listing-level data.

7.2 Removed listings. When a listing is no longer returned by the API (it was sold, rented, withdrawn, merged as a duplicate or removed at the request of a rights holder), you must stop displaying it to End Users within 7 days of the API no longer returning it.

7.3 Takedown requests. If Darak notifies you that specific data must be removed (for example after a request from an advertiser, owner, Source or authority), delete it and stop displaying it within 3 business days.

7.4 On termination, delete all Darak Data within 30 days except where law requires you to keep it, and certify deletion on request.

8. Personal data

8.1 What personal data is in Darak Data. Standard listing endpoints are designed to exclude personal contact data: advertiser names, phone numbers and commercial registration numbers are not returned. Listing text and images may still contain personal data the advertiser included. Endpoints in the brokers scope, available only under a signed agreement, return advertiser identity and contact data.

8.2 Roles. For personal data in Darak Data, you act as an independent controller of your own processing and must comply with the Saudi Personal Data Protection Law and its implementing regulations, and with any other data-protection law that applies to you.

8.3 Your obligations. Process personal data only for the purposes allowed by these terms and your Plan. Do not re-identify individuals from aggregated data. Honour deletion and takedown requests under section 7. Implement appropriate security.

8.4 Brokers scope. Access to advertiser identity and contact data additionally requires a data-processing addendum. It limits use to serving, with their authorization, the brokers or agencies the data relates to.

8.5 Data about you. Darak processes your Account information and API usage logs (request metadata, IP addresses, identifiers of keys used) to provide, secure, meter and bill the API, as described in Darak's privacy policy at https://darak.app/privacy.

9. Fees, billing and taxes

9.1 Prices. Paid Plans are billed at the prices shown in the portal or in your order form, in Saudi riyals (SAR) unless stated otherwise.

9.2 Subscriptions. Self-serve Plans are monthly subscriptions paid by card through our payment processor, Stripe. The monthly fee is charged in advance at the start of each billing period and renews automatically until you cancel. Upgrades take effect immediately and are charged pro rata for the rest of the period; downgrades take effect immediately and the unused part is credited to your next invoice.

9.3 Extra usage. Where your Plan includes an overage price, requests beyond the Plan's monthly quota are billed in arrears at that price, up to the monthly spend cap set by your Account owner. At the cap, further requests are rejected until the quota resets. A spend cap of zero means no extra usage is billed.

9.4 Cancellation and refunds. You may cancel from the Billing page at any time; the Plan stays active until the end of the paid period and the Account then moves to the Free Plan. Fees already paid are non-refundable except where required by law or stated in these terms.

9.5 Failed payments. If a payment fails, the Account keeps its Plan for 7 days while payment is retried. If it is still unpaid after that, the subscription is cancelled and the Account moves to the Free Plan. Enterprise invoices are due as stated in the order form, and Darak may suspend an Account whose invoice is more than 15 days overdue, after notice.

9.6 Taxes. Fees exclude VAT, sales and similar taxes. Where Darak is required to collect them, they are added to the invoice. Where the reverse-charge mechanism applies, you are responsible for accounting for the tax. Provide your tax registration number in the Billing page if you have one.

9.7 Price changes. Darak may change the price of a Plan on 30 days' notice. The change applies from your next billing period after the notice ends.

10. Suspension and termination

10.1 By you. You may stop using the API and delete your Account at any time.

10.2 By Darak. Darak may suspend or terminate your Account or API Keys, with notice where reasonably possible, if:

(a) you breach these terms (breaches of section 4 may lead to immediate suspension);

(b) your use threatens the security, availability or integrity of the API, or exposes Darak to legal liability; or

(c) required by law, a court or a competent authority.

Darak may also terminate the Free Plan, or these terms for convenience, on 30 days' notice. For prepaid Plans, it then refunds unused prepaid fees pro rata.

10.3 Survival. Sections 3.2, 4, 7.4, 8, 11-14 and 17 survive termination.

11. Data accuracy and third-party content

11.1 Darak Data is aggregated from third-party Sources and processed by automated systems: normalization, deduplication, outlier filtering and derived statistics. Listings may be inaccurate, incomplete, outdated, duplicated or no longer available. Advertisers, not Darak, are responsible for their listings.

11.2 Prices are normalized. Rental prices are expressed per year, and the as-posted price and frequency are provided separately. Market statistics are estimates computed from asking prices, not transaction prices, unless stated otherwise.

11.3 Darak Data is not financial, investment, valuation or legal advice. It is not a substitute for a licensed valuation (for example by a TAQEEM-accredited valuer) or for due diligence.

12. Disclaimer

The API and Darak Data are provided "as is" and "as available". To the maximum extent permitted by law, Darak disclaims all warranties, express or implied: merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. Any service-level commitment applies only if stated in a signed order form.

13. Limitation of liability

13.1 To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

13.2 Darak's total liability arising out of these terms in any 12-month period is limited to the fees you paid Darak for the API in that period, or SAR 1,000 if you are on the Free Plan.

13.3 These limits do not apply to liability that cannot be limited under applicable law, to your breach of section 4, or to your indemnity obligations.

14. Indemnity

You will defend and indemnify Darak against third-party claims arising from Your Application, your use of Darak Data in breach of these terms, or your violation of law. Darak will notify you promptly of the claim and allow you to control its defence.

15. Confidentiality

Non-public information about the API that Darak shares with you (for example beta features, pricing under negotiation, security information) is confidential. Use it only to use the API, and protect it with reasonable care.

16. Changes to these terms

Darak may update these terms. For material changes, Darak will give at least 30 days' notice by email to your Account owners and in the portal. Continued use after the effective date means acceptance. The portal may require re-acceptance before new API Keys can be created. Earlier versions are available on request.

17. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, unless a signed agreement specifies otherwise. Nothing in this section limits rights you have under mandatory law that applies to you.

18. General

  • Assignment. You may not assign these terms without Darak's written consent. Darak may assign them to an affiliate or successor.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including Source outages.
  • Entire agreement. These terms, the documentation's usage rules and any order form are the entire agreement on the API.
  • Language. These terms are written in English. If a translation is provided and conflicts with the English version, the English version prevails.
  • Notices. Darak sends notices to your Account owners' emails. You send notices through https://darak.app/contact.
